Drex Terms of Service

Oct 20, 2026 · @Hasibul Haque Prottoy

These Terms apply when you use drex.agency or hire Drex LLC (“Drex”, “we”). By using our site or accepting a proposal, you agree to them. Effective October 20, 2026.

Our services

We provide website design and development (WordPress, Shopify and WooCommerce), brand identity, SEO, Meta advertising, content and social media, and website maintenance. The scope, deliverables, price and milestones for each project are set out in a written proposal or agreement. If it conflicts with these Terms, the proposal applies to that project.

Quotes and proposals

A quote is valid for 30 days unless it says otherwise. Work starts after you accept the proposal and pay the first milestone. Requests outside the agreed scope are quoted separately before we begin them.

Payments

  • Projects are paid in milestones set out in your proposal, for example at kickoff, design approval and launch. We start each stage after the previous milestone is paid.
  • Invoices are due within 7 days unless the invoice says otherwise. If a payment is late, we may pause work until it is paid.
  • Monthly services (SEO, Meta campaigns, content and social, maintenance) are billed monthly in advance.
  • Ad spend is separate from our fees. You pay Meta, Google and other platforms directly through your own ad account.
  • Third-party costs such as domains, hosting, premium plugins, themes, fonts and stock media are paid by you, unless the proposal says otherwise.
  • Taxes on your purchase are your responsibility.

What we need from you

To keep your project on schedule, you agree to:

  • Give us the content, images and access we need on time
  • Give feedback within 5 business days of each review
  • Name one person who can approve decisions
  • Make sure you have the right to use everything you give us

Timelines

Dates in a proposal are estimates that assume you provide content and feedback on time. We will tell you early if something puts a date at risk.

Revisions

Your proposal states how many rounds of revisions are included. Extra rounds, and changes outside the agreed scope, are quoted separately.

Cancellation and refunds

You or we can end a project or monthly service at any time by written notice. Email is fine.

  • If you cancel a project: you pay for the work completed up to the cancellation date, including a fair share of any milestone in progress. We refund the unused portion of anything you prepaid for work we have not delivered, within 14 days. You receive the work completed and paid for.
  • Monthly services: cancel before your next billing date and you will not be charged again. We refund any prepaid fees for work we have not started.
  • If we end the work, for example because of non-payment or abusive behavior, we refund the unused portion in the same way.

Who owns the work

Once you have paid in full, you own the final website, its content and the design files we created for you. Until then, we keep ownership and you may not publish the work.

Some parts stay under their own licenses, including WordPress, themes, plugins, fonts, stock images and other third-party tools.

We keep ownership of the tools, templates, code snippets and methods we use across projects. You receive a license to use them as part of your website.

We may show the finished work, and results you have agreed to share, in our portfolio, case studies and marketing, and name you as a client. We will not share your confidential information or your customers’ personal data. If you would rather we did not show your project, tell us in writing.

No guarantee of results

We work to improve your results, but we cannot promise specific outcomes such as rankings, traffic, leads, sales or return on ad spend. These depend on many factors outside our control, including your market, budget, offer, competitors and platform changes. Results in our case studies come from specific projects and do not guarantee the same for you.

Third-party platforms

Your project may depend on platforms we do not control, such as WordPress, Shopify, Google, Meta and hosting providers. We are not responsible for their outages, price changes, policy changes or decisions, including ad account restrictions. You must follow their rules, including Meta’s advertising policies. Your ad accounts stay yours.

Confidentiality

Each of us will keep the other’s non-public business information confidential and use it only for the project. This does not apply to information that is public, was already known to us, or must be disclosed by law.

Our team

We may work with trusted team members and partners on your project. We stay responsible for the work and for keeping your information confidential.

Using drex.agency

Our site and its content belong to Drex Agency LLC. You may view it for your own use. Do not copy or resell our content, interfere with the site, or use it for anything unlawful.

What you provide

You are responsible for the content, images, products, claims and instructions you give us. You agree to cover our reasonable losses if a third party brings a claim because you did not have the right to use something you gave us, or because your content is unlawful.

Limits of liability

We provide our services and this website “as is”. To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profit, lost revenue or lost data. Our total liability for any claim is limited to the fees you paid us for the project or service the claim relates to. Nothing in these Terms limits liability that cannot be limited by law.

Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, USA. If we have a dispute, we will first try to resolve it informally: email us and give us 30 days. If that does not work, either of us may bring the claim in the state or federal courts located in New Mexico.

Changes to these Terms

We may update these Terms. For a project, the version on drex.agency on the day you accept the proposal applies. For monthly services, changes apply from the date we post them, and we will tell you about significant changes.
